These Terms of Service (“Terms”) govern your access to and use of the ProDIP AI Cost Agent platform and services provided by ProDIP Pty Ltd (“ProDIP,” “we,” “our”). Please read these Terms carefully before using our platform.
By accessing or using the ProDIP AI Cost Agent, you agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use our platform.
ProDIP is an AI-powered cost intelligence platform that connects to your accounting software to analyse your cost data and deliver actionable recommendations. The service includes:
You must register for an account to use ProDIP. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
ProDIP connects to your QuickBooks Online or Xero account through industry-standard OAuth 2.0 authorisation. By connecting your accounting software, you acknowledge and agree that:
You may use ProDIP solely for lawful business purposes in accordance with these Terms. You agree not to:
ProDIP and its underlying technology, AI models, algorithms, interfaces, documentation, and branding are the intellectual property of ProDIP Pty Ltd. Nothing in these Terms grants you rights to our intellectual property beyond the limited licence to use the platform in accordance with your subscription.
You retain all rights to the financial data you connect to ProDIP. We claim no ownership over your data. Any insights, reports, or recommendations generated by ProDIP based on your data are provided for your use, but the underlying models and methods remain our property.
Your privacy matters to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which forms part of these Terms. By using ProDIP, you consent to the data practices described in our Privacy Policy.
ProDIP provides AI-generated cost analysis, insights, and recommendations for informational purposes only. The platform does not provide financial, accounting, tax, or legal advice. You acknowledge and agree that:
To the maximum extent permitted by applicable law, ProDIP Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the platform or reliance on AI-generated recommendations. Our total cumulative liability for any claims arising under these Terms shall not exceed the fees you paid to ProDIP in the twelve (12) months preceding the claim.
Either party may terminate this agreement at any time with 30 days written notice. ProDIP may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the platform ceases and we will delete your data within 30 days in accordance with our data retention policy. You may export your data before termination. Provisions that by their nature should survive termination will remain in effect.
We may modify these Terms from time to time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Your continued use of ProDIP after modified Terms take effect constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.
